I. GENERAL DESCRIPTION-OPEN CASTING CALL

McArthur Dairy (hereinafter referred to as the "Producer") seeks submission by members of the public of their home videos showing their talented children for the possibility to appearing on a McArthur Dairy television commercial. In this open audition, we are seeking all types of submissions showing what makes your child special, amazing and unique, whether it be in the areas of the arts, athletics, or even academics. Only videos conforming to Producer’s and its affiliates’ standards will be considered for the possibility of appearing on a commercial, and the final decision will be based solely on Producer's and its affiliates’ judgment. By submitting your video, you hereby accept and agree to the terms set forth herein. FOR YOUR SAFETY AND THE PROTECTION OF THOSE AROUND YOU, DO NOT ATTEMPT ANY ACT THAT MAY PHYSICALLY HARM YOU OR ANYONE ELSE.

II. PROCEDURES

1. Persons wishing to enter should send their home videos (the “Video”) along with the Submission and Release Agreement and Premises Permit (if necessary) to: CNSG, 2500 Maitland Center Parkway, Suite 104, Maitland, FL 32751, Attn.: McArthur Dairy Auditions. In addition to the Video, you may also submit certain personal information and/or elements, including but not limited to your name(s), trademarks, tradenames, likenesses, photographs, biographical materials and all other graphic and/or textual material to us (collectively referred to as the "Personal Materials"). (Video and Personal Materials shall be collectively referred to hereinafter as the "Materials"). Tapes will be reviewed on an ongoing basis. See section V for information on deadlines.

2. Please include your full name, address and telephone number and a brief written description of the Video being submitted.

3. PRODUCER WILL NOT RETURN YOUR VIDEO! Producer reserves the right to destroy the Video. Producer is not responsible for lost, damaged or misdirected Videos under any circumstances. Please keep a copy of your submission.

4. The following home video formats are acceptable: VHS cassette tape or MPEG (CD-ROM). Please do NOT send the Video in any other format as Producer will be unable to view it and will discard the submission.

5. Producer reserves the right to edit and/or alter any submission.

6. Videos must be exclusive to Producer.

7. FOR YOUR SAFETY AND THE PROTECTION OF THOSE AROUND YOU, DO NOT ATTEMPT ANY ACT THAT MAY PHYSICALLY HARM YOU OR ANYONE ELSE.

8. The decisions of the Producer and its affiliates are final and nonappealable. All submissions are subject to the terms of these rules and you agree to be bound by these rules and the decisions of the judges. Producer reserves the right to amend these rules at any time.

9. Please do not call us. We will contact you if we are interested in using you for a McArthur Dairy commercial. Please make sure you clearly print your contact information on your submission tape.

10. YOU UNDERSTAND AND ACCEPT: (i) THAT YOU ARE SUBMITTING YOUR MATERIALS IN THE CASTING CALL FOR THE POSSIBILITY OF HAVING YOUR MATERIALS APPEAR ON EITHER THE MCARTHUR WEBSITE AND/OR A TELEVISION COMMERCIAL FOR PRODUCER; (ii) THAT IF YOUR VIDEO IS CHOSEN TO APPEAR ON THE MCARTHUR WEBSITE, ANY AND ALL LICENSES AND PERMISSION TO USE YOUR MATERIALS ON PRODUCER’S WEBSITE ARE HEREBY GRANTED; (iii) THAT YOU WILL NOT RECEIVE ANY ADDITIONAL COMPENSATION FROM PRODUCER IF YOUR VIDEO APPEARS ON THE WEBSITE UNLESS YOU ARE CHOSEN TO APPEAR ON A TELEVISION COMMERCIAL; (iv) THE TERMS OF THE SUBMISSION AND RELEASE AGREEMENT; (v) THAT PRODUCER SHALL HAVE THE RIGHT TO REQUIRE YOU TO SIGN ANY FURTHER DOCUMENTS TO

III. ELIGIBILITY

11. Employees of McArthur Dairy and its subsidiary, and affiliated companies and anyone involved in the production, administration or judging of the contest, as well as immediate family/same household members of anyone so employed or engaged are eligible.

12. Persons under 18 may enter but written parental consent will be required before their entries will be considered.

13. Videos submitted for the audition must include a signed Submission and Release Agreement and other required forms, if necessary, attesting, among other things, to the fact that they are the rightful owners of the submitted Videos and that said Videos or portions thereof may be submitted and broadcast without obtaining permission from or making any payment to any third party(ies). All persons appearing in the Video must sign consent forms and/or releases before the submission will be considered. A parent or guardian must sign the consent/release form for minors. If you fail to provide the requested releases and/or consents, we will not consider using your Video. Producer will provide such release and/or consent forms. Notwithstanding the foregoing, the submission of your Video constitutes your permission to Producer the perpetual and royalty free right and license to use the Materials to advertise, promote and publicize Producer including, but not limited to, any of Producer’s consumer products, in all media, now known or hereafter devised, throughout the universe and may authorize others to do so; such advertising, promotion and publicity may include portions and excerpts, in addition to cut-in, synchronized, dubbed and superimposed versions of the Materials.

14. Each submission must be solely the original work of the person submitting the Video.

15. By submitting your Video you represent and warrant that it does not infringe on any third party's (ies) copyrighted material, trademark or other intellectual property rights.

16. By submitting your Video you agree to release, discharge, and hold harmless Producer and its subsidiary and affiliated companies, licensees, and assigns, and their respective officers, directors, employees, agents and representatives from any claim or liability arising from or related to submission of the entry, participation in this open casting call, and/or appearance on this website.

17. You agree that your submission shall be governed by and construed under and in accordance with the laws of the State of Florida applicable to contracts entered into and wholly performed therein. You consent and agree to the jurisdiction of the federal and state courts of the State of Florida, located in the County of Orange.

IV. JUDGING CRITERIA

18. Videos will be judged on the basis of what makes your child special, amazing and unique, whether it is in the areas of the arts, athletics, or even academics. All decisions are final.

V. CONTEST DEADLINES

19. The submission deadline date is December 31, 2003. All tapes must be received by Producer on or before the deadline date to be eligible.

At Producer’s sole option, any Video may be retained and considered for future use, or any other program or ancillary use in any media. Producer reserves the right to terminate this open casting call at any time prior to December 31, 2003.

VI. RELEASES

20. All persons appearing in submissions must sign all consent forms, general releases and other authorizations in the form provided by Producer or they will be eliminated from consideration. Releases will include a statement that the Videos submitted is the exclusive property of the person submitting the video.

21. Releases must be obtained from all identifiable persons depicted in the Video. A parent or legal guardian must sign the consent/release form for minors.
